These Terms & Conditions ("Terms") govern your access to and use of the Pardeasy website, mobile application, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be legally bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.

The Service is operated by Party, Inc. dba Pardeasy ("Pardeasy," "Company," "we," "our," or "us").

1. Definitions

For purposes of these Terms:

Account means a registered account created to access certain features of the Service.

Application means the Pardeasy mobile application and website.

Business Profile means any vendor listing displayed on the Service, whether claimed or unclaimed.

Claimed Profile means a vendor profile that has been verified and claimed by its authorized owner.

Content means text, photographs, videos, graphics, logos, reviews, comments, messages, advertisements, business information, software, and all other materials appearing on the Service.

Device means any smartphone, tablet, computer, or other internet-connected device capable of accessing the Service.

Marketplace means Pardeasy's platform connecting users with vendors and event-related businesses.

Services means all features offered through Pardeasy including, but not limited to:

  • Vendor discovery

  • Business listings

  • Event discovery

  • Messaging

  • Reviews

  • Saved favorites

  • Advertising products

  • Premium placement

  • Future marketplace features

Unclaimed Profile means a business listing created by Pardeasy using publicly available information that has not yet been verified or claimed by the business owner.

Vendor means any business, organization, or individual offering products or services through or displayed on the Service.

You means any person or entity accessing or using the Service.

2. Eligibility

By accessing or using the Service, you represent and warrant that:

  • You are at least eighteen (18) years old, or have the consent and supervision of a parent or legal guardian.

  • You have the legal authority to enter into these Terms.

  • You will comply with all applicable laws and regulations.

Pardeasy may refuse access to the Service at its sole discretion.

3. Acceptance of Terms

By downloading, installing, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you use the Service on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

4. Changes to These Terms

Pardeasy reserves the right to modify these Terms at any time.

When material changes are made, we may provide notice through:

  • the Application,

  • email,

  • the website,

  • or other reasonable means.

Continued use of the Service after revised Terms become effective constitutes acceptance of those revised Terms.

If you do not agree with the revised Terms, you must discontinue use of the Service.

5. Nature of the Service

Pardeasy is an online marketplace and discovery platform designed to help users discover event vendors, businesses, services, products, experiences, and local events.

Pardeasy is not:

  • a party rental company;

  • an event planner;

  • an employment agency;

  • a booking agency;

  • a payment processor;

  • an insurance provider;

  • or a party to agreements between users and vendors.

Pardeasy does not own, operate, supervise, employ, recommend, or control vendors listed on the platform.

Any agreement entered into between a user and a vendor exists solely between those parties.

6. User Accounts

Certain features require creation of an account.

You agree to:

  • provide accurate information;

  • keep your information current;

  • maintain the security of your password;

  • immediately notify us of unauthorized access.

You are responsible for all activity occurring under your account.

Pardeasy may suspend or terminate accounts suspected of fraud, abuse, impersonation, or violation of these Terms.

7. Acceptable Use

You agree not to:

  • violate any applicable law;

  • impersonate another individual or business;

  • create fake accounts;

  • harass other users;

  • transmit malware or harmful code;

  • interfere with operation of the Service;

  • scrape or harvest user information without authorization;

  • upload illegal, offensive, defamatory, or infringing content;

  • manipulate reviews or ratings;

  • attempt unauthorized access to the Service.

Pardeasy reserves the right to investigate violations and take appropriate action including suspension or permanent removal.

8. User Content

Users may submit content including:

  • reviews;

  • ratings;

  • photographs;

  • messages;

  • comments;

  • vendor inquiries;

  • profile information.

You retain ownership of your content.

However, by submitting content you grant Pardeasy a worldwide, perpetual, irrevocable, royalty-free, sublicensable license to:

  • display;

  • reproduce;

  • distribute;

  • publish;

  • modify for formatting purposes;

  • promote;

  • store;

  • and otherwise use your content in connection with operating and promoting the Service.

You represent that:

  • you own or have permission to use all submitted content;

  • your content does not violate intellectual property rights;

  • your content is truthful and lawful.

Pardeasy may remove content at its sole discretion.

9. Messaging and Community Features

The Service may include messaging, public discussions, chat rooms, community features, or future social networking functionality.

You understand that:

  • communications with other users occur at your own risk;

  • Pardeasy does not verify the identity of users;

  • Pardeasy does not routinely monitor conversations;

  • inappropriate conduct may occur despite our moderation efforts.

You agree not to:

  • harass users;

  • send spam;

  • solicit illegal activity;

  • distribute malware;

  • post obscene or threatening content.

Pardeasy may suspend messaging privileges or terminate accounts without prior notice.

10. Vendor Listings

Vendor information displayed on the Service may originate from:

  • vendors;

  • publicly available sources;

  • third-party data providers;

  • user submissions;

  • publicly accessible websites;

  • or other lawful sources.

Although Pardeasy strives for accuracy, we do not guarantee that vendor information is complete, current, or accurate.

Vendor listings may contain inaccuracies including:

  • pricing;

  • hours;

  • availability;

  • contact information;

  • products;

  • services.

Users should independently verify all information before hiring a vendor.

11. Transactions Between Users and Vendors

Pardeasy serves solely as a marketplace connecting users and vendors.

Unless expressly stated otherwise:

  • Pardeasy is not a party to any agreement between users and vendors.

  • Pardeasy does not process payments.

  • Pardeasy does not guarantee bookings.

  • Pardeasy does not guarantee vendor availability.

  • Pardeasy does not guarantee pricing.

  • Pardeasy does not inspect vendor work.

  • Pardeasy does not guarantee customer satisfaction.

Any deposits, payments, refunds, cancellations, contracts, or disputes are solely between the user and the vendor.

Pardeasy assumes no responsibility for losses resulting from such transactions.

12. Location Services

Certain features rely on your device's location.

By enabling location services, you authorize Pardeasy to use your location for purposes including:

  • displaying nearby vendors;

  • improving search results;

  • recommending businesses;

  • enhancing user experience.

Disabling location permissions may limit certain functionality.

Pardeasy is not responsible for inaccurate recommendations resulting from incorrect location data or device settings.

13. Intellectual Property

The Service, including its software, design, branding, logos, graphics, interfaces, databases, algorithms, text, and original content, is owned by or licensed to Pardeasy and is protected by United States and international intellectual property laws.

Except as expressly permitted by these Terms, you may not:

  • copy;

  • reproduce;

  • distribute;

  • modify;

  • create derivative works;

  • reverse engineer;

  • decompile;

  • or exploit any portion of the Service without prior written consent.

"Pardeasy," our logos, trademarks, service marks, and branding may not be used without our written permission.

Nothing contained in these Terms grants you any ownership interest in the Service or its intellectual property.

14. Advertising and Premium Placement

Pardeasy may offer paid advertising products, promotional placements, sponsored listings, Digital Billboard Advertising, Premium Placement, or other marketing opportunities to vendors.

Participation in advertising programs does not:

  • guarantee leads, bookings, sales, or revenue;

  • guarantee increased visibility;

  • constitute an endorsement by Pardeasy;

  • affect a user's ability to choose any vendor.

Sponsored or promoted listings may appear more prominently than other listings.

Pardeasy reserves the right to determine how advertisements, sponsored content, and promoted listings are displayed.

15. Future Features

Pardeasy may introduce additional products and services, including but not limited to:

  • ticketing;

  • event registration;

  • AI-powered recommendations;

  • gig opportunities;

  • payment processing;

  • social networking features;

  • digital wallets;

  • messaging enhancements;

  • reservation systems;

  • event management tools.

Additional terms may apply to future features.

Continued use of those features constitutes acceptance of any applicable supplemental terms.

16. Third-Party Services

The Service may integrate with or link to third-party websites, platforms, payment processors, mapping providers, analytics providers, social media services, or other technologies.

Pardeasy does not control third-party services and is not responsible for:

  • their availability;

  • accuracy;

  • privacy practices;

  • security;

  • products or services;

  • content.

Your use of third-party services is governed solely by their respective terms and privacy policies.

17. Reviews and Ratings

Users may submit reviews and ratings regarding vendors.

Reviews must be based upon genuine experiences.

You agree not to submit reviews that are:

  • false;

  • defamatory;

  • misleading;

  • fraudulent;

  • abusive;

  • discriminatory;

  • intended to manipulate rankings.

Pardeasy reserves the right, but not the obligation, to:

  • moderate reviews;

  • remove reviews;

  • investigate suspicious activity;

  • suspend accounts engaged in review manipulation.

Publication of a review does not indicate endorsement by Pardeasy.

18. Copyright and Intellectual Property Complaints

Pardeasy respects intellectual property rights.

If you believe material appearing on the Service infringes your copyright or other intellectual property rights, you may submit a written notice including:

  • identification of the copyrighted work;

  • identification of the allegedly infringing material;

  • your contact information;

  • a statement made under penalty of perjury that you believe the use is unauthorized;

  • your physical or electronic signature.

Pardeasy may remove allegedly infringing material while investigating claims.

19. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PARDEASY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

  • MERCHANTABILITY;

  • FITNESS FOR A PARTICULAR PURPOSE;

  • TITLE;

  • NON-INFRINGEMENT;

  • ACCURACY;

  • RELIABILITY;

  • AVAILABILITY.

PARDEASY DOES NOT WARRANT THAT:

  • THE SERVICE WILL OPERATE WITHOUT INTERRUPTION;

  • THE SERVICE WILL BE ERROR-FREE;

  • VENDORS ARE QUALIFIED;

  • USERS ARE WHO THEY CLAIM TO BE;

  • ANY TRANSACTION WILL BE SUCCESSFUL;

  • ANY CONTENT IS ACCURATE OR COMPLETE.

USE OF THE SERVICE IS ENTIRELY AT YOUR OWN RISK.

20. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PARDEASY, ITS OFFICERS, DIRECTORS, EMPLOYEES, SHAREHOLDERS, AFFILIATES, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY:

  • INDIRECT DAMAGES;

  • INCIDENTAL DAMAGES;

  • CONSEQUENTIAL DAMAGES;

  • SPECIAL DAMAGES;

  • PUNITIVE DAMAGES;

  • LOSS OF PROFITS;

  • LOSS OF BUSINESS;

  • LOSS OF GOODWILL;

  • LOSS OF DATA;

  • PERSONAL INJURY;

  • PROPERTY DAMAGE;

  • EMOTIONAL DISTRESS.

THIS APPLIES REGARDLESS OF WHETHER LIABILITY ARISES FROM:

  • NEGLIGENCE;

  • CONTRACT;

  • TORT;

  • STRICT LIABILITY;

  • OR OTHERWISE.

IN NO EVENT SHALL PARDEASY'S TOTAL LIABILITY EXCEED THE GREATER OF:

  • ONE HUNDRED U.S. DOLLARS ($100); OR

  • THE TOTAL AMOUNT PAID BY YOU TO PARDEASY DURING THE PREVIOUS TWELVE (12) MONTHS.

21. Indemnification

You agree to defend, indemnify, and hold harmless Pardeasy, its affiliates, officers, directors, employees, contractors, licensors, successors, and assigns from any claims, damages, liabilities, losses, judgments, settlements, penalties, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • your use of the Service;

  • your content;

  • your violation of these Terms;

  • your interactions with vendors or users;

  • your violation of any law or third-party rights.

This obligation survives termination of these Terms.

22. Governing Law and Arbitration

These Terms are governed by the laws of the State of California without regard to conflict of law principles.

Before initiating legal proceedings, both parties agree to first attempt to resolve disputes informally.

If a dispute cannot be resolved informally, it shall be resolved through binding arbitration administered by the American Arbitration Association.

YOU AGREE THAT:

  • disputes shall be resolved individually;

  • class actions are waived;

  • jury trials are waived.

Nothing in this section prevents Pardeasy from seeking injunctive relief to protect its intellectual property or confidential information.

23. Termination

Pardeasy may suspend, restrict, or terminate access to the Service at any time, with or without notice, for any reason, including violation of these Terms.

Upon termination:

  • your license to use the Service ends immediately;

  • your account may be removed;

  • certain information may remain as required by law or our Privacy Policy.

Sections relating to intellectual property, disclaimers, limitation of liability, arbitration, and indemnification survive termination.

24. Miscellaneous

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions shall remain in full force.

Failure to enforce any provision shall not constitute a waiver.

These Terms constitute the entire agreement between you and Pardeasy regarding the Service and supersede prior agreements relating to the Service.

Headings are for convenience only and do not affect interpretation.

26. Vendor Listings, Claimed Profiles, and Unclaimed Profiles

Pardeasy operates as an online marketplace and business discovery platform for the event industry. To provide users with a comprehensive directory of vendors and services, Pardeasy may create informational business listings using publicly available information, information supplied by third-party data providers, publicly accessible online sources, or other lawful sources.

Unclaimed Profiles

Business profiles marked as "Unclaimed" have not been created, verified, or managed by the business owner.

The existence of an Unclaimed Profile does not indicate that the business has endorsed, approved, partnered with, sponsored, or otherwise affiliated itself with Pardeasy.

Unclaimed Profiles are intended solely to help users discover businesses and provide business owners with the opportunity to claim and manage their listing.

Information Included in Unclaimed Profiles

An Unclaimed Profile may include publicly available factual information, including but not limited to:

  • business name;

  • city and state;

  • phone number;

  • website;

  • publicly available social media links;

  • business category;

  • hours of operation;

  • publicly available descriptions;

  • other factual business information.

Pardeasy does not represent or warrant that such information is complete, accurate, or current.

Claiming a Profile

Authorized business owners may claim their profile by completing Pardeasy's verification process.

Following successful verification, vendors may be permitted to:

  • update business information;

  • upload logos and photographs;

  • add products and services;

  • update pricing;

  • respond to customer inquiries;

  • participate in promotional opportunities;

  • access additional platform features.

Pardeasy reserves the right to determine appropriate ownership verification requirements and may deny any claim that cannot be reasonably verified.

Requests for Corrections

Businesses that believe information displayed on a profile is inaccurate, misleading, outdated, or incomplete may contact Pardeasy to request corrections.

Pardeasy will review reasonable requests and may modify information where appropriate.

Removal Requests

Pardeasy generally maintains factual business listings that are based upon publicly available information in order to provide users with a comprehensive marketplace and directory.

Accordingly, Pardeasy is generally not obligated to remove accurate business listings solely because a business has not claimed its profile.

However, Pardeasy reserves the right, in its sole discretion, to remove, modify, merge, or deactivate any listing at any time.

No Endorsement

The inclusion of a business within the Service does not constitute:

  • endorsement;

  • recommendation;

  • certification;

  • sponsorship;

  • partnership;

  • agency relationship;

  • employment relationship;

  • or affiliation

between Pardeasy and the listed business.

Vendor Responsibility

Vendors remain solely responsible for:

  • maintaining accurate information after claiming a profile;

  • ensuring compliance with applicable laws;

  • obtaining required licenses, permits, and insurance;

  • honoring agreements made with customers.

Pardeasy does not inspect, supervise, or verify vendor qualifications and makes no representation regarding any vendor's experience, licensing, insurance, or quality of services.

Reservation of Rights

Pardeasy reserves the right to:

  • create listings;

  • combine duplicate listings;

  • update publicly available information;

  • verify ownership;

  • reject ownership claims;

  • suspend listings;

  • remove listings;

  • modify listings;

  • organize listings;

  • or otherwise manage marketplace content as necessary to maintain the integrity, usefulness, and accuracy of the Service.
