Terms and Conditions for Pardeasy

Please read these Terms and Conditions ("Terms") carefully before using the Pardeasy mobile application (the "Service") operated by Party, Inc. ("Company", "we", "our", or "us"). These Terms govern your use of the Service and constitute a legally binding agreement between you and the Company.

1. Interpretation and Definitions

• Application: The mobile software application provided by the Company, known as Pardeasy.

• Application Store: Apple App Store or Google Play Store.

• Affiliate: An entity that controls, is controlled by, or is under common control with the Company.

• Country: United States (State of California)

• Company: Party, Inc. (dba Pardeasy)

• Device: Any device that can access the Service, such as a smartphone or tablet.

• Service: The Pardeasy mobile app.

• Third-Party Social Media Service: External services used to register or log in to the Service.

• You: The individual or legal entity using the Service.

2. Acceptance of Terms

By downloading, installing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.

You affirm that you are at least 17 years of age. The Service is not intended for individuals under 17.

3. Changes to Terms

We may modify these Terms at any time. We will notify users of material changes via in-app notice or email. Continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.

4. Use of the Service

You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not:

• Use the Service in any way that violates applicable laws or regulations.

• Impersonate or misrepresent your affiliation with another person or entity.

• Use the Service to transmit, upload, or distribute inappropriate, offensive, or harmful content.

• Attempt to gain unauthorized access to the Service or interfere with its operations.

The Company reserves the right to suspend or terminate your account for any violation of these Terms, with or without notice.

5. User-Generated Content & Live Chat

The Service includes live chat and public chatroom features. By using these features, you understand and agree that:

• You are solely responsible for the content you post.

• You may not post illegal, abusive, threatening, sexually explicit, or otherwise objectionable content.

• Pardeasy does not monitor all content and is not liable for user-submitted material.

• We reserve the right to remove content or ban users at our discretion.

• Users may report abuse, and we will take reasonable steps to investigate and act accordingly.

6. Location-Based Services

Pardeasy relies on real-time and background location data to connect users with nearby vendors. You must grant the app permission to access your device's location to fully utilize the Service.

You acknowledge and accept:

• Disabling location permissions will affect app functionality.

• Location data is used to match users with nearby vendors and improve app performance.

• We disclaim liability for incorrect vendor matches based on location data.

7. Account Registration and Security

You may be required to register an account using email or a third-party login. You are responsible for:

• Maintaining the confidentiality of your account credentials

• All activity under your account

You agree to notify us immediately if you suspect unauthorized access to your account.

8. Vendor Listings and Pricing

Vendors are solely responsible for the accuracy of the services, products, and pricing they list on the platform. You acknowledge that:

• Product or service prices may change over time and may not always reflect current rates.

• Some pricing information may be outdated, incorrect, or entered in error.

• Pardeasy does not verify the accuracy of vendor listings or pricing.

• All payments, deposits, and pricing agreements are strictly between the user and the vendor and occur outside of the Pardeasy platform.

• Pardeasy does not process or facilitate payments of any kind and is not a party to any transaction or agreement between users and vendors.

9. Intellectual Property

All intellectual property rights in the Service and its content (except for user-generated content) are owned by or licensed to the Company. You may not copy, modify, distribute, or create derivative works without our written consent.

10. Third-Party Services and Links

The Service may contain links to third-party websites or integrate third-party tools. We do not control and are not responsible for:

• The content, policies, or practices of third-party sites

• Any transactions or interactions with third-party services

11. Termination

We may terminate or suspend your account or access to the Service at any time, without prior notice, if we believe you have violated these Terms or applicable laws.

Upon termination, your right to use the Service will cease immediately. We may retain user data as permitted by law and our Privacy Policy.

12. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by law, the Company disclaims all warranties, express or implied, including:

• Warranties of merchantability or fitness for a particular purpose

• That the Service will be uninterrupted, error-free, or virus-free

• That content or data is accurate, complete, or reliable

13. Limitation of Liability

To the fullest extent permitted by law, the Company shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages

• Loss of profits, data, or goodwill

• Any issues arising from user-generated content or interactions

• Any pricing inaccuracies or transactions between users and vendors

• Any liability exceeding the greater of $100 or the amount you paid for the Service

Some jurisdictions may not allow the exclusion or limitation of certain warranties or damages, so some limitations may not apply to you.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, United States. Any disputes shall first be attempted to be resolved informally by contacting us.

If unresolved, disputes shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association. You agree to waive your right to a trial by jury or class action.

15. Compliance with U.S. Law

You represent and warrant that you are not:

• Located in a country subject to U.S. sanctions

• Listed on any U.S. government list of prohibited or restricted parties

16. Severability and Waiver

If any part of these Terms is held invalid or unenforceable, the remaining provisions shall continue in effect. Failure to enforce any provision shall not be considered a waiver of that right.
